These Terms of Service (“Terms”) govern your use of the Spotlight Adz website, the Client Portal, and any creative, marketing, AI, or technology services we provide (collectively, the “Services”). By engaging us, you agree to these Terms.
1. Services
Spotlight Adz delivers branding, advertising, content, web/app, AI, and growth services as scoped in each Statement of Work (SOW) or proposal. The SOW governs deliverables, timelines, and pricing. These Terms govern everything else.
2. Client responsibilities
- Provide accurate briefs, brand assets, access credentials, and timely feedback.
- Ensure you own (or have a license to use) any material you provide to us.
- Designate a single point of contact for approvals.
3. Fees & payment
Fees are stated in each SOW in MAD or EUR. Unless agreed otherwise, retainers are billed monthly in advance and project fees in milestones. Invoices are due within 15 days. Late payments accrue interest at the legal rate and may pause delivery.
4. Intellectual property
On full payment, you receive ownership of the final deliverables created for you, excluding: (a) our pre-existing tools, methods, and templates, (b) third-party assets (fonts, stock, plugins) which remain under their original licenses, and (c) AI model outputs, which are licensed to you on a perpetual, worldwide basis. We may showcase the work in our portfolio unless you opt out in writing.
5. Confidentiality
Both parties agree to protect non-public information shared during the engagement and to use it solely to perform the Services.
6. Warranty & liability
We deliver Services with reasonable skill and care. To the maximum extent permitted by law, our total liability for any claim arising from the Services is capped at the fees paid in the 3 months preceding the claim. We are not liable for indirect, consequential, or revenue-loss damages.
7. Termination
Either party may terminate with 30 days' written notice. Fees for work completed up to the termination date remain due. Retainers are non-refundable for the current billing cycle.
8. Governing law
These Terms are governed by the laws of the Kingdom of Morocco. Any dispute will be submitted to the competent courts of Casablanca, unless otherwise agreed in the SOW.
